Terms of Service

1. Who we are and who these terms are for

ArgusMesh ("the Service") is provided by JDD Dental ApS, CVR 43896342, Fredericiagade 42, 6000 Kolding, Denmark ("we", "us").

The Service is for businesses and professionals, such as denturists, dentists and dental laboratories, and not for consumers. By creating an account, or by using the Service for an organisation, you confirm that you act for a business and have the authority to bind it to these terms. You must be at least 18 years old.

2. Accounts

You must give accurate and current information when you register. You are responsible for keeping your sign-in details confidential and for everything done with your account. Tell us at once if you think someone else has used it.

An organisation's admin decides who may use the organisation's account and is responsible for inviting only people who are allowed to see the organisation's data.

3. The Service and your responsibility for results

ArgusMesh is a cloud tool for preparing 3D dental models for production, including viewing, automatic suggestions, slicing, sculpting, print-readiness checks and export.

Automatic suggestions are previews that you accept, edit or reject. The denturist, dentist or laboratory using ArgusMesh stays responsible for the design, fit and quality of every denture or other device it makes, and for checking each result before it is used on a patient. ArgusMesh does not replace professional judgement.

4. Plans, fees and renewal

The Service has a free plan and paid plans that are charged per seat. The price, billing period and features of each plan are the ones shown on our pricing page and at checkout when you buy. Prices are in US dollars, and VAT and other taxes are added where they apply.

Paid plans are billed annually and renew automatically for another year until cancelled. An organisation admin can cancel on the Billing page at any time. Cancelling stops the next renewal; the plan stays active until the end of the period already paid for. We do not refund fees for a period that has already begun.

Seats are added or changed on the Billing page and are charged as shown there. If we change the price of a plan, the new price applies from the next renewal and we will tell you at least 30 days before it takes effect, so you can cancel first.

If a payment fails, we may suspend paid features until it is paid.

5. Your content and personal data

You keep all rights in the scans, files and information you put into the Service ("Your Content"). You give us the right to store, process and display it as needed to provide the Service to you.

You must have the right to upload Your Content and a legal basis for the personal data in it, including patient data. For patient and client data, your organisation is the controller and we are its processor. Our data processing agreement under GDPR Art. 28 applies to that processing; we provide it on request and before you enter patient data. How we handle personal data is described in our Privacy Policy.

If your organisation has "Help improve suggestions" switched on, we record the numeric outcome of your decisions on suggestions as described in the Privacy Policy. An admin can switch it off on the Billing page.

We do not guarantee that Your Content cannot be lost. Keep your own copies of source scans and exported files.

6. Acceptable use

You agree not to:

• use the Service unlawfully or upload content you have no right to upload;
• try to access another organisation's data, or to probe, disrupt or overload the Service;
• copy, resell or reverse engineer the Service, except where the law allows it;
• share an account between several people or use more seats than you pay for.

7. Intellectual property

The Service, including its software, design and documentation, belongs to JDD Dental ApS and its licensors. We give you a limited, non-exclusive, non-transferable right to use it for your business while these terms apply. Open-source components remain under their own licences.

8. Copyright and takedown

If you believe something stored in ArgusMesh infringes your copyright, send a notice as described on our Copyright and takedown page (/company/copyright). We remove or disable access to content promptly after a valid notice and keep a record of it. We end the access of users who repeatedly infringe copyright, and we may suspend an account while a notice is handled.

9. Availability and support

We work to keep the Service available, but we do not promise it will be uninterrupted or error free. We may update it, add features and remove features, and we may take it down for maintenance.

10. Warranty and liability

The Service is provided "as is" and "as available", to the extent the law allows.

We are not liable for indirect or consequential loss, such as lost profit, lost business or loss of data. Our total liability to you for any claim related to the Service is limited to the fees you paid us for the Service in the 12 months before the event that gave rise to the claim.

Nothing in these terms limits liability that cannot be limited by law, including liability for intent or gross negligence, or for death or personal injury.

11. Ending the agreement

You can stop using the Service at any time and cancel as described above. We may suspend or end your access if you materially breach these terms and do not fix it after we tell you, or at once if the breach is serious or puts the Service or other customers at risk.

When the agreement ends, your organisation can export Your Content for 30 days if you ask us. After that we may delete it, as described in the Privacy Policy.

12. Changes to these terms

We may change these terms. For material changes we will give account holders at least 30 days' notice by email or in the app before they apply. If you do not agree, you can cancel before they take effect; using the Service afterwards means you accept them.

13. Governing law and disputes

These terms are governed by Danish law. Disputes are decided by the courts of Denmark.
